Article 1 – Parties
1.1. The owner of nyrex is nyrex, located at “Karakaş Mahallesi, Çukur Sokak / KIRKLARELİ, TURKEY” (hereafter “Company”). The services provided through nyrex are offered by the Company. The Company reserves the right to change any information, forms, content, and this Membership Agreement on nyrex at any time without notice.
1.2. The Company may change the conditions specified in this Membership Agreement at any time without prior notice or notification. These changes cannot be modified unilaterally by Members through their declaration.

Article 2 – Subject
The subject of this agreement is the sale and delivery of the product that the Buyer orders electronically from the website www.NyrexScript.com, with the product’s features and sales price indicated below, and the determination of the parties’ rights and obligations in accordance with the Turkish Commercial Code, the Code of Obligations, and Law No. 6502 on Consumer Protection and the Regulation on Distance Contracts.
The Buyer acknowledges and declares that they have been informed in a clear, understandable, and internet-appropriate manner by the Seller about the seller’s name, title, full address, phone number, access details, basic characteristics of the product, price including taxes, payment method, delivery conditions, shipping costs, etc., and the right of withdrawal, how this right can be exercised, complaints, and objections, and official authorities to contact, and that they confirmed these details electronically and placed the order accordingly.
The pre-information provided on www.NyrexScript.com and the invoice generated based on the Buyer’s order are integral parts of this agreement.
Article 3 – Information on the Product/Payment/Delivery
The type, quantity, brand/model, sales price, payment method, recipient of delivery, delivery address, invoicing information, and shipping cost of the product(s) ordered electronically are as follows.
The person to be invoiced must be the same as the one who made the contract. The information provided below must be accurate and complete. The Buyer accepts full responsibility for any damage caused by the incorrect or missing information and also assumes any liability arising from such errors.
In cases where the Seller deems necessary, if the information provided by the Buyer does not match the facts, the Seller reserves the right to stop the order. In case of issues with the order, if the Seller cannot reach the Buyer through the provided contact details, the order will be frozen for 15 days. During this period, the Buyer is expected to contact the Seller. If no response is received during this time, the Seller will cancel the order to avoid harm to both parties.

In the case of delivery to countries outside Turkey, shipping costs and possible customs fees will be added additionally.
Article 4 – Contract Date and Force Majeure
The contract date is the date the order is placed by the Buyer, which is ../../….
Force majeure (natural disasters, war, terrorism, riots, changes in regulations, confiscation, strike, lockout, significant technical faults in production and communication facilities, etc.) will prevent the parties from fulfilling their obligations. The affected party must inform the other party of the situation in writing immediately. If the force majeure continues for 30 days, either party has the unilateral right to terminate the contract.
Article 5 – Seller’s Rights and Obligations
5.1. The Seller agrees to fulfill the obligations under the Turkish Consumer Protection Law No. 6502 and the Regulation on Distance Contracts, except in cases of force majeure.
5.2. Persons under 18 (eighteen) years of age cannot purchase from www.NyrexScript.com. By shopping on the website, the Buyer confirms they are over 18 years old. The Seller is not responsible for any actions performed by users under 18 years of age.
5.3. The Seller is not responsible for pricing errors due to system malfunctions. The Seller is not liable for any promotional or pricing errors that occur due to technical issues or illegal interventions.
5.4. Payments can be made via credit card (Visa, MasterCard, etc.) or bank transfer. Orders not paid within 1 business day will be canceled. The order will only be processed after the payment is confirmed.
5.5. For orders paid by bank transfer, a “payment notification form” must be filled out after every order. Delays due to incomplete or incorrect forms are not the responsibility of NyrexScript Elektronik A.Ş.
5.6. The technical specifications of the products are provided by the manufacturer. The Seller is not responsible for any errors in the manufacturer’s data. The published data is for the customer’s convenience and the appropriateness is the Buyer’s responsibility.
5.7. The actual product may differ slightly in color, size, or text due to the nature of online displays.
5.8. Technical data is updated by the manufacturers from time to time. Although NyrexScript Elektronik A.Ş. follows these updates closely, it cannot guarantee 100% compatibility with in-stock products.
5.9. The Seller is not responsible for external links on www.NyrexScript.com.
5.10. All technical data and images on www.NyrexScript.com are provided for informational purposes and may not be used commercially.
5.11. Orders made during weekends, public holidays, or administrative leave will be processed the next business day.
5.12. Stock availability on the website may vary due to multiple orders being placed at the same time.
5.13. Prices may fluctuate due to changes in exchange rates, with final pricing being confirmed in the order confirmation email.
5.14. Some products may be labeled as “Obsolete,” indicating they are no longer produced by the manufacturer. The Seller is not responsible for the accuracy of this information.
5.15. “Equivalent” products may be offered as substitutes. The Seller cannot guarantee their exact specifications.
5.16. The website may have a messaging module for faster service. By using it, the Buyer agrees to share certain browsing and device details.
5.17. The technical data provided by NyrexScript Elektronik A.Ş. may not always reflect the actual product.
5.18. The minimum order amount is 2 USD excluding VAT.
5.19. The Seller reserves the right to cancel or modify any campaigns or promotions without prior notice.
5.20. A shipping fee will be applied to all orders under 200 TL.
5.21. NyrexScript offers a “money points” system that can be canceled or modified at the Seller’s discretion.
5.22. Orders placed after 3:00 PM may not be shipped the same day, depending on operational volume and order quantity.
5.23. Products may have different pricing based on minimum package quantities. Discounts may be applied for larger orders.
5.24. NyrexScript.com works best with Google Chrome. The Seller is not responsible for issues arising from other browsers.
Article 6 – Buyer’s Rights and Obligations
6.1. The Buyer agrees to fulfill the obligations specified in the contract, except in cases of force majeure.
6.2. By placing an order, the Buyer accepts the terms of the contract and agrees to make payment in accordance with the specified method.
6.3. The Buyer acknowledges they have been informed about the product’s details, price, and withdrawal rights and confirmed these details electronically.
6.4. The Buyer agrees to read and understand the order/payment/usage procedure and confirms it electronically.
6.5. The Buyer agrees not to damage the product or its packaging, not to tear the seal, and not to use or replace the product if they wish to return it.
6.6. Products will be subject to technical inspection for return eligibility. The inspection period may take 3 to 15 days.
6.7. If the order contains SENSECAP M1 LORAWAN GATEWAY products, the Buyer agrees to the additional terms in Protocol EK-1.
6.8. The Buyer confirms they are not under any economic sanctions imposed by Turkey, the European Union, or the United States and will not resell the products in violation of any laws.
Article 7 – Order/Payment Procedure
Orders are processed after the Buyer approves the total amount (including taxes and installment amounts) and payment is processed.
Orders may only be placed for products shown as available in stock. Products not available in stock can be ordered by contacting customer service.
Any order issues or credit card problems will be notified to the Buyer.
Article 8 – Shipping/Delivery Procedure
Products will be shipped by the Seller’s chosen courier. The delivery time is 30 days from order confirmation. Delays may occur in case of customs or delivery issues.
The Buyer may cancel the sale without specifying a reason if the delivery location is problematic.
Article 9 – Product Return and Withdrawal Rights
Buyers have the right to withdraw from the contract within 14 days without stating a reason.
Returns must be made via the Seller’s designated courier service, free of charge.
Article 10 – Warranty
NyrexScript provides assistance for warranty claims if the product is under manufacturer warranty.
Article 11 – Privacy
The Seller will not share the Buyer’s personal details with third parties, except when legally required.
Article 12 – Website Security
NyrexScript uses secure encryption for transactions.
Article 13 – Access and Account Information Protection
Buyers must create a secure username and password for shopping on the site.
Article 14 – Jurisdiction and Dispute Resolution
In case of disputes, Consumer Arbitration Committees or Consumer Courts will have jurisdiction.
